Terms of Service

1. Definitions

• "Company", "we", "us", "our" refers to Blue Shift Limited, a company registered in Hong Kong (Business Registration Number: 77691799), with its registered address at Unit 2A, 17/F, Glenealy Tower, No.1 Glenealy, Central, Hong Kong S.A.R.
• "Platform" refers to The Ocean Toolbox, accessible at www.theoceantoolbox.com, including all its features, content, and services.
• "User", "you", "your" refers to any individual or entity accessing or using the Platform.
• "Database" refers to the curated collection of ocean-focused organisations, including all associated data, descriptions, categorisations, and metadata compiled and maintained by the Company.
• "Subscription" refers to a paid plan (Monthly Pro or Annual Pro) that grants enhanced access to the Platform and its features.

2. Eligibility

You must be at least 18 years of age to use the Platform. By creating an account or using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. Account Registration

To access certain features of the Platform, you must create an account. You may register using your email address and password, or through Google or LinkedIn authentication.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at ophelie@blueshift-solutions.com if you become aware of any unauthorised use of your account.

We reserve the right to suspend or terminate your account at any time if we reasonably believe that you have violated these Terms.

4. Plans and Services

4.1 Free Plan

• Viewing up to 30 organisations
• Basic search and filters
• Map overview (without details)

4.2 Monthly Pro Plan — USD $59/month

• Full access to all organisations in the Database
• Advanced filters and search capabilities
• Interactive map with detailed information
• Detailed organisation profiles
• Priority support

4.3 Annual Pro Plan — USD $495/year

• Everything included in the Monthly Pro Plan
• Ability to download the Database as an Excel file
• Copy and paste data functionality
• Priority support

All prices are in United States Dollars (USD) and are exclusive of any applicable taxes.

5. Payments and Billing

5.1 Payment Processing

All payments are processed securely through Stripe, Inc. We do not store your credit card information.

5.2 Automatic Renewal

Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date.

5.3 Cancellation

You may cancel your Subscription at any time through your account settings. Upon cancellation, your access to Pro features will remain active until the end of the current paid billing period. After that, your account will revert to the Free Plan.

5.4 No Refunds

All payments are non-refundable. Once a payment has been processed, no refunds will be issued, including for partial billing periods, unused features, or account cancellations made before the end of the billing period.

6. Right of Withdrawal (European Union Users)

The Platform provides immediate access to digital content and services upon subscription activation. As the digital content is made available immediately upon purchase, you waive your right of withdrawal under Article 16(m) of EU Directive 2011/83/EU by subscribing to any paid plan on the Platform.

Accordingly, no right of withdrawal applies to any Subscription purchased on the Platform.

7. Intellectual Property

7.1 Ownership

The Platform, including but not limited to its design, code, features, logos, trademarks, and all content within the Database, is the exclusive property of Blue Shift Limited and is protected by intellectual property laws.

7.2 Limited Licence

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform and its content solely for your personal and internal business purposes.

7.3 Restrictions on Data Use

If you are subscribed to a Pro Plan that allows downloading or copying data, you may NOT:

• Resell, sublicence, or commercially distribute any data obtained from the Database.
• Publicly redistribute, publish, or make available any substantial portion of the Database to third parties.
• Use the data to create, develop, or operate a competing product, service, or database.
• Systematically scrape, extract, or harvest data from the Platform by automated means.
• Remove or alter any proprietary notices, labels, or attributions from the data.

Violation of these restrictions may result in immediate termination of your account and Subscription without refund, and may give rise to legal action for damages.

8. Suggest Organisation Feature

The Platform allows users to suggest organisations for inclusion in the Database. By submitting a suggestion, you represent that the information provided is accurate to the best of your knowledge.

We reserve the sole discretion to accept, reject, modify, or remove any suggested organisation. Submission does not guarantee inclusion. You do not receive any compensation or rights in connection with your suggestion.

9. Prohibited Conduct

• Use the Platform for any unlawful purpose.
• Attempt to gain unauthorised access to the Platform, other users' accounts, or related systems.
• Interfere with or disrupt the Platform's operations, servers, or networks.
• Use the Platform to transmit viruses, malware, or harmful code.
• Share your account credentials with third parties.
• Circumvent, disable, or interfere with any security or access-control features.
• Use automated tools to access the Platform beyond what is expressly permitted.

10. Disclaimer of Warranties

The Platform and its content are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

The Database is compiled through research and publicly available sources. While we strive for accuracy, we cannot guarantee that all information about listed organisations is current or error-free.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Blue Shift Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Platform.

Our total aggregate liability shall not exceed the total amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Blue Shift Limited, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising out of your use of the Platform in violation of these Terms, any applicable law, any third-party rights, or any misuse of data obtained from the Database.

13. Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including breach of these Terms.

Upon termination, your right to access and use the Platform ceases immediately. You must destroy any data downloaded or copied from the Database.

14. Modifications to the Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on the Platform with a new "Last Updated" date. Your continued use of the Platform constitutes acceptance of the modified Terms.

15. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Hong Kong.

Nothing in these Terms shall deprive consumers in the European Union of the protection afforded to them by mandatory provisions of consumer protection law in their country of residence.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published on the Platform, constitute the entire agreement between you and Blue Shift Limited regarding your use of the Platform.
